During consulting engagements, clients agree to:

2.4 Independent Professional Judgment

While we provide expert recommendations based on our experience and analysis, clients retain full authority and responsibility for all business decisions. Our role is advisory; implementation decisions and their consequences remain the client's responsibility. We do not guarantee specific outcomes or results from consulting engagements.

3. Intellectual Property and Content

3.1 Ownership of Website Content

All content on our website, including but not limited to text, graphics, logos, icons, images, audio clips, video, data compilations, and software, is the exclusive property of Axios Synergy or licensed to us. This content is protected by copyright, trademark, and other intellectual property laws.

3.2 Limited License

We grant you a limited, non-exclusive, non-transferable license to access and use website content for personal, non-commercial purposes only. This license does not permit you to download, copy, reproduce, distribute, transmit, display, sell, or exploit content for commercial purposes without our explicit written consent.

3.3 Trademarks

"Axios Synergy" and associated logos, service marks, and trademarks are our exclusive property. Unauthorized use of these marks may violate trademark, copyright, and other applicable laws and could result in legal action.

3.4 Work Product in Engagements

Ownership of deliverables and work product created during consulting engagements is addressed in specific engagement agreements. Generally, clients receive rights to use deliverables for their internal business purposes while we retain rights to underlying methodologies and frameworks.

4. Disclaimers and Limitations of Warranty

4.1 Website and Services "As Is"

Our website and services are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied. We make no warranties regarding the accuracy, reliability, completeness, or timeliness of content or services. We do not warrant that our website will be uninterrupted, secure, or error-free.

4.2 No Guarantee of Business Results

Axios Synergy shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to lost profits, lost revenue, lost data, business interruption, or loss of opportunities, whether based on warranty, contract, tort, or any other legal theory, even if we have been advised of the possibility of such damages.

5.2 Monetary Cap

Our total aggregate liability to you for all claims arising from or related to use of our website shall not exceed €500. For consulting engagements, liability limits are specified in individual engagement agreements and typically shall not exceed the fees paid for that specific engagement.

5.3 Force Majeure

We are not liable for delays or failures in performance resulting from circumstances beyond our reasonable control, including but not limited to acts of God, war, terrorism, strikes, labor disputes, government actions, pandemics, natural disasters, telecommunications failures, or power outages.

5.4 Jurisdictional Variations

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability shall be limited to the greatest extent permitted by law.

6. Indemnification

You agree to defend, indemnify, and hold harmless Axios Synergy, its officers, directors, employees, agents, contractors, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, debt, and expenses (including but not limited to attorney's fees) arising from:

Before initiating any legal proceedings, both parties agree to attempt resolution through good-faith negotiations for a period of at least 30 days. The parties shall meet (in person or virtually) to discuss the dispute and explore mutually acceptable solutions.

7.3 Mediation

If good-faith negotiations do not resolve the dispute, the parties agree to submit the matter to mediation before proceeding to litigation. The parties shall jointly select a mediator and share mediation costs equally unless otherwise agreed.

7.4 Litigation

If mediation does not result in resolution within 60 days, either party may proceed to litigation in the designated courts. Each party shall bear its own legal costs unless the court orders otherwise.

8. General Provisions

8.1 Severability

If any provision of these Terms and Conditions is held to be invalid, illegal, or unenforceable, the validity, legality, and enforceability of the remaining provisions shall not be affected or impaired. The invalid provision shall be replaced with a valid provision that most closely reflects the original intent.

8.2 Entire Agreement

These Terms and Conditions, together with our Privacy Policy, Cookie Policy, and any specific engagement agreements, constitute the entire agreement between you and Axios Synergy regarding use of our website and services, superseding all prior or contemporaneous communications and proposals.

8.3 No Waiver

Our failure to enforce any right or provision of these Terms and Conditions shall not constitute a waiver of that right or provision. Any waiver must be in writing and signed by an authorized representative of Axios Synergy.

8.4 Assignment

You may not assign or transfer these Terms and Conditions or your rights and obligations hereunder without our prior written consent. We may assign these Terms and Conditions to any affiliate or in connection with a merger, acquisition, or sale of assets.

8.5 Survival

Provisions of these Terms and Conditions that by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnity obligations, and limitations of liability.
