Our role is advisory; implementation decisions and their consequences remain the client's responsibility. We do not guarantee specific outcomes or results from consulting engagements.

3. Intellectual Property and Content

3.1 Ownership of Website Content

All content on our website, including but not limited to text, graphics, logos, icons, images, audio clips, video, data compilations, and software, is the exclusive property of Axios Synergy or licensed to us. This content is protected by copyright, trademark, and other intellectual property laws.

3.2 Limited License

4. Disclaimers and Limitations of Warranty

4.1 Website and Services "As Is"

Our website and services are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied. Our total aggregate liability to you for all claims arising from or related to use of our website shall not exceed €500. For consulting engagements, liability limits are specified in individual engagement agreements and typically shall not exceed the fees paid for that specific engagement.

5.3 Force Majeure

We are not liable for delays or failures in performance resulting from circumstances beyond our reasonable control, including but not limited to acts of God, war, terrorism, strikes, labor disputes, government actions, pandemics, natural disasters, telecommunications failures, or power outages.

6. Indemnification

7.3 Mediation

If good-faith negotiations do not resolve the dispute, the parties agree to submit the matter to mediation before proceeding to litigation. The parties shall jointly select a mediator and share mediation costs equally unless otherwise agreed.

7.4 Litigation

If mediation does not result in resolution within 60 days, either party may proceed to litigation in the designated courts. Each party shall bear its own legal costs unless the court orders otherwise.

8. General Provisions

8.1 Severability

If any provision of these Terms and Conditions is held to be invalid, illegal, or unenforceable, the validity, legality, and enforceability of the remaining provisions shall not be affected or impaired. The invalid provision shall be replaced with a valid provision that most closely reflects the original intent.

8.2 Entire Agreement

These Terms and Conditions, together with our Privacy Policy, Cookie Policy, and any specific engagement agreements, constitute the entire agreement between you and Axios Synergy regarding use of our website and services, superseding all prior or contemporaneous communications and proposals.

8.3 No Waiver

Our failure to enforce any right or provision of these Terms and Conditions shall not constitute a waiver of that right or provision. Any waiver must be in writing and signed by an authorized representative of Axios Synergy.
